PREPARING A DUE DILIGENCE REPORT

Outline of Talk:

This 1 hour presentation will focus on:

Considerations affecting drafting practices: form and structure of the transaction; extent and type of investigation (freedom to operate, strength of intellectual property portfolio, litigation risks)

Elements of the report: introduction, scope of investigation, executive summary, discussion of identified issues and resolution, conclusion/recommendations, post-closing obligations and final note

Drafting examples and critique

Drafting tips: what to write and what not to write

Parallel matters: effects on report of risk displacement; representations and warranties; indemnification

Report distribution limitations to protect confidentiality and privilege.

Adda Gogoris - Principal with Darby & Darby P.C (www.darbylaw.com)

Adda Gogoris is a principal with Darby & Darby P.C. She specializes in global patent procurement strategy, counseling, technology transfer and infringement/validity opinions. Since 1981, she has worked on pharmaceutical and biotechnology matters and has handled intellectual property issues for pharmaceutical (both branded and generic) and biotech companies. Ms. Gogoris also has considerable experience in conducting and managing due diligence investigations, which is why she is presenting.
